PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE OR BOOKING ANY SERVICE. BY ACCESSING OR USING THIS SITE, MAKING AN ONLINE BOOKING, OR PURCHASING ANY PRODUCT OR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THIS SITE.

1. Agreement to Terms

These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you (“user,” “you,” or “your”) and Elite Med Spa and its affiliated practice locations (“Elite Med Spa,” “we,” “us,” or “our”) governing your access to and use of our websites, online booking system, patient portal, e-commerce features, and related digital services (collectively, the “Site”).

These Terms apply to all visitors, users, patients, and purchasers. By using the Site, you represent that you are at least 18 years of age, or that you are the parent or legal guardian of a minor for whom you are booking services, and that you have the legal authority to enter into these Terms.

We operate locations in Washington, Texas, and Nebraska. These Terms apply across all locations and their associated digital platforms. Where state law requires terms specific to a jurisdiction, those provisions are identified.

2. Changes to These Terms

We reserve the right to modify these Terms at any time in our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of this page. We may also notify you by email or by posting a notice on the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

If you do not agree with any revised Terms, you must stop using the Site and cancel any pending bookings or subscriptions.

3. Use of the Site

3.1 Permitted Use

You may use the Site solely for lawful personal purposes, including:

  • Browsing information about our services and locations;

  • Booking appointments or consultations;

  • Purchasing products, gift cards, or service packages;

  • Managing your account or patient portal; and

  • Contacting us with questions or feedback.

3.2 Prohibited Conduct

You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local law or regulation;

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

  • Transmit any unsolicited or unauthorized advertising, promotional material, spam, or junk mail;

  • Attempt to gain unauthorized access to any portion of the Site, our servers, or any systems connected to the Site;

  • Use any automated tool, scraper, bot, or data-mining technology to access or collect data from the Site;

  • Upload or transmit viruses, malware, or any other harmful code;

  • Interfere with or disrupt the integrity or performance of the Site;

  • Reproduce, duplicate, copy, sell, or exploit any portion of the Site without our express written permission; or

  • Use the Site to collect information about other users without their consent.

3.3 Account Registration

Certain features of the Site — including online booking and the patient portal — may require you to create an account. You agree to:

  • Provide accurate, current, and complete information during registration;

  • Maintain the security of your password and accept responsibility for all activity under your account;

  • Notify us immediately at contact@amarahealth.us if you suspect unauthorized use of your account; and

  • Not share your account credentials with any third party.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or engaged in fraudulent activity.

4. Booking, Appointments, and Cancellations

4.1 Online Booking

Online bookings made through the Site are requests for appointments and are subject to provider availability. Confirmation of your booking does not guarantee a provider-patient relationship has been established. Please refer to our Medical & Health Disclaimer for details on when that relationship is formed.

4.2 Cancellation and No-Show Policy

We require a minimum of 24 hours notice to cancel or reschedule an appointment. Cancellations made with less than the required notice, or failure to appear for a scheduled appointment (“no-show”), may result in:

  • A cancellation or no-show fee of $50 charged to the credit card on file; and/or

  • Suspension of your ability to book future appointments online.

We understand that emergencies happen. Fees may be waived at our discretion in documented emergency circumstances. Please contact your location directly as soon as possible if you need to cancel.

4.3 Late Arrivals

If you arrive more than 15 minutes late for your appointment, we may need to shorten your treatment time or reschedule your appointment. Late arrivals do not entitle you to a refund or credit for unused treatment time.

4.4 Right to Refuse Service

We reserve the right to refuse service to any person at any time, for any lawful reason, including but not limited to health and safety concerns, contraindications identified during consultation, or prior violations of these Terms or our clinic policies.

5. Payments, Pricing, and Refunds

5.1 Pricing

All prices listed on the Site are in U.S. dollars and are subject to change without notice. Prices displayed at the time of booking or purchase are the prices applicable to that transaction, subject to any corrections for clerical errors.

Our locations in applicable jurisdictions may charge sales tax on certain services or products as required by state law. Any applicable taxes will be disclosed at checkout.

5.2 Payment Methods

We accept major credit and debit cards and such other payment methods as displayed at checkout. By providing a payment method, you represent that you are authorized to use that payment method and authorize us to charge it for all amounts due.

We may work with third-party financing providers (e.g., CareCredit, Cherry, and PatientFi). Your use of third-party financing is subject to the terms and conditions of the applicable financing provider, for which we are not responsible.

5.3 Prepaid Packages and Memberships

Prepaid treatment packages and memberships purchased through the Site or in clinic are subject to the following terms:

  • Packages and memberships are non-transferable and may not be shared between individuals;

  • Prepaid sessions must be used within 12 months of the date of purchase, unless otherwise specified at time of sale;

  • Unused sessions in an expired package are forfeited and not eligible for refund; and

Membership fees are billed on a recurring basis as specified at the time of enrollment. Cancellation of a membership requires 30 days written notice and must be submitted to contact@amarahealth.us.

5.4 Gift Cards

Gift cards purchased through the Site or in clinic:

  • Are valid for use at the location for which it was purchased;

  • Do not expire and have no fees;

  • Are not redeemable for cash, except as required by applicable state law;

  • Are not replaceable if lost or stolen; and

  • May not be used to purchase other gift cards.

Washington residents: Gift cards issued in Washington are subject to the Washington Unclaimed Property Act. Unused balances may be subject to escheatment as required by law.

5.5 Refund Policy

All sales of services are final. We do not offer refunds for completed treatments. Exceptions may be considered on a case-by-case basis at the sole discretion of our management and will not be granted where a service was rendered as agreed.

For product purchases made online, you may return unopened, unused products in original condition within 14 days of purchase for a refund or exchange. Opened products may not be returned due to health and safety regulations, unless the product is defective.

5.6 Chargebacks

If you initiate a chargeback with your credit card issuer for a charge you believe is unauthorized or erroneous, please contact us first at contact@amarahealth.us so we can resolve the matter. We reserve the right to dispute chargebacks we believe to be fraudulent and to suspend or terminate the accounts of users who initiate unwarranted chargebacks.

6. Promotions, Specials, and Discounts

Promotional offers, discounts, and specials advertised on the Site or through our marketing channels are subject to the specific terms and expiration dates stated in the applicable promotion. Unless otherwise stated:

  • Promotions may not be combined with other offers, discounts, or packages;

  • Promotions are valid only for the service or product specified;

  • Promotions are non-transferable and have no cash value;

  • We reserve the right to modify or discontinue any promotion at any time without notice; and

  • Promotional pricing does not apply to previously purchased services or packages.

7. Intellectual Property

7.1 Our Content

All content on the Site, including but not limited to text, graphics, logos, images, photographs, videos, audio clips, treatment descriptions, and software (“Content”), is owned by or licensed to us and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content from our Site without our prior written consent, except as follows:

  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use;

  • If we provide social media features on the Site, you may take such actions as are enabled by those features; and

  • You may share links to our pages, provided you do not imply we endorse you or your content.

7.2 Trademarks

Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of us or our affiliates. You may not use these marks without our prior written permission.

7.3 User Submissions

If you submit reviews, comments, photos, testimonials, or other content to us (“User Content”), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with our business and marketing activities, subject to our Privacy Policy and any separate written consent you have provided regarding identifiable health information or photographs.

You represent and warrant that you own or control all rights in your User Content, that it is accurate, and that its use does not violate these Terms or any applicable law or regulation.

8. Third-Party Links and Services

The Site may contain links to third-party websites, social media platforms, booking integrations, financing providers, or other services. These links are provided for your convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party site or service.

Your use of third-party sites and services is at your own risk and subject to the terms and conditions of those third parties. We encourage you to review the terms and privacy policies of any third-party site you visit.

9. Communications and Marketing

9.1 Email Communications

By providing your email address and checking the applicable opt-in box, you consent to receive marketing emails from us. You may unsubscribe at any time by clicking the “Unsubscribe” link in any email or by contacting us at contact@amarahealth.us. Unsubscribing from marketing emails does not unsubscribe you from transactional communications related to your bookings or account.

9.2 SMS / Text Message Communications

By providing your mobile phone number and opting in to SMS communications, you consent to receive text messages from us, including appointment reminders and promotional offers. Message frequency varies. Standard message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for assistance. We comply with the Telephone Consumer Protection Act (TCPA) and applicable wireless carrier guidelines.

9.3 Consent to Be Contacted

By submitting a contact form or booking request on this Site, you consent to be contacted by phone, email, or text message in response to your inquiry. This consent is not a condition of purchasing any service.

10. Photography, Video, and Before-and-After Images

We may photograph or video record your treatment for medical documentation purposes as described in our Notice of Privacy Practices. Any use of your image or likeness for marketing, social media, or promotional purposes requires your separate, written, voluntary authorization. You may revoke such authorization at any time in writing; revocation will not affect materials already published in reliance on your prior authorization.

Before-and-after photographs displayed on the Site or in our marketing materials depict actual patients who have provided written consent. Results are not typical and individual results will vary. See our Medical & Health Disclaimer for more information.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

  • Warranties that the Site will be uninterrupted, error-free, or free of viruses or other harmful components;

  • Warranties regarding the accuracy, reliability, or completeness of any Content on the Site; and

  • Warranties that any defects will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties. If you reside in such a jurisdiction, the above exclusion may not apply to you to the extent required by applicable law.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELITE MED SPA, ITS OWNERS, OFFICERS, MEDICAL DIRECTOR, AFFILIATED PROVIDERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE.

In no event shall our total liability to you for all claims arising out of or relating to your use of the Site exceed the greater of: (a) the amount you paid in the 12 months preceding the claim, or (b) one hundred dollars ($100.00).

This limitation of liability does not apply to liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

Some states, including Washington, do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply.

13. Indemnification

You agree to defend, indemnify, and hold harmless Elite Med Spa and its owners, officers, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms;

  • Your use of the Site in a manner not authorized by these Terms;

  • Your User Content;

  • Your violation of any rights of another person or entity; or

  • Your violation of any applicable law or regulation.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at contact@amarahealth.us and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice. If the dispute cannot be resolved informally within that period, either party may pursue formal resolution as described below.

14.2 Governing Law

These Terms and any dispute arising out of or relating to them or your use of the Site shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions, except where applicable state law in Washington, Texas, or Nebraska mandates otherwise.

14.3 Jurisdiction and Venue

Subject to the arbitration provision below, you agree that any legal proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts located in the county of the location where you received treatment and you consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, Washington residents retain the right to bring claims in Washington state courts for violations of the Washington Consumer Protection Act or the Washington My Health My Data Act, and Nebraska residents retain the right to bring claims in Nebraska state courts for violations of the Nebraska Data Privacy Act.

14.4 Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, and except as otherwise provided herein, you and Elite Med Spa agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site through binding individual arbitration, rather than in court. The arbitration shall be conducted by JAMSunder its applicable rules.

You waive the right to a jury trial and the right to participate in a class action, class arbitration, or any other representative proceeding.

This arbitration provision does not apply to: (a) claims for injunctive or equitable relief; (b) claims that may not be subject to arbitration under applicable law; or (c) claims by Washington residents for violations of the MHMDA, which are expressly preserved.

14.5 Time Limitation on Claims

Any claim arising out of or relating to these Terms or your use of the Site must be brought within one (1) year of the date the claim arose, or it will be permanently barred. This limitation applies to the fullest extent permitted by applicable law.

15. Termination

We reserve the right to suspend or terminate your access to the Site, your account, or any services, with or without notice, for any lawful reason, including but not limited to your violation of these Terms, non-payment, or conduct that we determine, in our sole discretion, is harmful to Elite Med Spa, other users, or third parties.

Upon termination, your right to use the Site immediately ceases. All provisions of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers of warranty, limitations of liability, and dispute resolution provisions — shall survive.

17. State-Specific Terms

Washington

Washington residents are protected by the Washington Consumer Protection Act (RCW 19.86), which prohibits unfair or deceptive acts and practices in trade or commerce. Nothing in these Terms limits your rights under the CPA. Washington residents who believe we have engaged in an unfair or deceptive act may contact the Washington Attorney General’s Office at www.atg.wa.gov.

Texas

Texas residents are protected by the Texas Deceptive Trade Practices–Consumer Protection Act (DTPA). Nothing in these Terms waives any right you have under the DTPA that cannot lawfully be waived by contract. Texas residents who have complaints may contact the Texas Attorney General’s Consumer Protection Division at www.texasattorneygeneral.gov.

Nebraska

Nebraska residents are protected by the Nebraska Consumer Protection Act and the Nebraska Uniform Deceptive Trade Practices Act. Nothing in these Terms limits rights you have under these statutes. Nebraska residents with complaints may contact the Nebraska Attorney General’s Office at ago.nebraska.gov.

18. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, Medical & Health Disclaimer, and Notice of Privacy Practices, constitute the entire agreement with respect to your use of the Site and supersede all prior agreements, representations, and understandings.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay to exercise any right or remedy under these Terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, labor disputes, government actions, or telecommunications failures.

No Third-Party Beneficiaries. These Terms are for the sole benefit of you and us and do not create any rights in any third party.

Headings. Section headings in these Terms are for convenience only and have no legal effect.

These Terms are governed by the laws of the State of Florida and are designed to comply with applicable laws in Washington, Texas, and Nebraska, including the Washington Consumer Protection Act, Washington My Health My Data Act, Texas Deceptive Trade Practices Act, Texas Data Privacy and Security Act, Nebraska Consumer Protection Act, and Nebraska Data Privacy Act.
